General Terms and Conditions

1. Scope of Application

These General Terms and Conditions shall apply to all orders placed via our online shop. Our online shop is directed exclusively at consumers.

For Germany, the following shall apply: pursuant to Section 13 of the German Civil Code (Bürgerliches Gesetzbuch – BGB), a consumer is any natural person who enters into a legal transaction for purposes that predominantly are outside his or her trade, business or independent professional activity.

For Austria, the following shall apply: for the purposes of the following terms and conditions, the term “consumer” shall mean a “consumer” (Konsument) within the meaning of the Austrian Consumer Protection Act (Konsumentenschutzgesetz – KSchG).

2. Contracting Party, Conclusion of Contract, Correction Options

The purchase contract is concluded with TechniSat Digital GmbH.

The presentation of the products in the online shop does not constitute a legally binding offer, but rather a non-binding online catalogue. You may initially place our products in the shopping cart without obligation and may correct your entries at any time before submitting your order by using the correction tools provided and explained for this purpose during the ordering process. By clicking the order button, you submit a binding offer to purchase the products contained in the shopping cart. Confirmation of receipt of your order will be sent by email immediately after the order has been submitted.

We shall accept your offer within two days by
  • issuing a declaration of acceptance in a separate email; or
  • where applicable, having the payment transaction carried out by our service provider or by the selected payment service provider. The time at which the payment transaction is carried out depends on the payment method selected in each case; see “Payment”.
The alternative relevant to you shall be determined by which of the events listed above occurs first.

3. Contract Language, Storage of the Contract Text

The language(s) available for the conclusion of the contract are: German and English.

We store the contract text and provide you with the order details and our General Terms and Conditions in text form. You may access the contract text in your customer login area.

4. Subject Matter of the Contract

4.1 Product Description

Reference is made to the applicability of the respective product description as an essential part of the contract.

4.2 Product Images

Without prejudice to your statutory warranty rights, we would like to draw your attention to the following particularities. In case of any uncertainty, please contact us.

Due to individual screen settings, such as resolution and brightness, minor deviations may occur between the product colours displayed and the actual product colours.

5. Terms of Delivery

5.1 Shipping Costs

Standard shipping is free of charge for orders with an order value of EUR 29.00 or more, including VAT.

5.2 Delivery Options

We ship the products to the delivery address specified during the ordering process.

We deliver exclusively by shipment. Unfortunately, self-collection of the goods is not possible.

5.3 Delivery by Freight Carrier

Scheduling of Delivery

In the case of deliveries by freight carrier, the freight carrier commissioned by us will contact you for the purpose of arranging a delivery date.

Place of Delivery

Delivery of the goods shall be limited to the transport and unloading of the goods at the first public kerbside of the agreed delivery address. Unless expressly agreed otherwise, delivery does not include delivery into specific rooms or premises, nor the assembly and/or installation of the ordered goods.

Recipient´s Cooperation

Unloading and, where necessary, any subsequent transport of the goods to the agreed place of delivery shall be carried out jointly by the freight carrier’s driver and the recipient. Information on packaging dimensions can be found in the offers.

In relation to merchants, the following shall apply: by way of derogation from the preceding sentence, the recipient shall be responsible for unloading and, where necessary, any subsequent transport of the goods to the agreed place of delivery.

6. Payment

6.1 Due Date and Default in Payment

The price shall become due upon conclusion of the contract, unless a later date results from the payment terms set out below.

In the event of default in payment, we reserve the right to charge you a fee of EUR 1.50 for the second and each subsequent reminder. You shall remain entitled to prove that a lower loss has been incurred. Any further claims shall remain unaffected.

6.2 Payment Methods

The following payment methods are generally available to you in our shop.

Advance Payment

If you select advance payment as the payment method, we will provide you with our bank details in a separate email and will deliver the goods after receipt of payment.

Credit Card

During the ordering process, you enter your credit card details. Your card will be charged immediately after the order has been submitted.

SEPA Direct Debit

By submitting the order, you grant us a SEPA direct debit mandate. We will inform you of the date on which your account will be debited at least one banking business day in advance (“pre-notification”). A banking business day is any working day, excluding Saturdays, nationwide public holidays, and 24 and 31 December of each year.

PayPal

In order to pay the invoice amount via the payment service provider PayPal (Europe) S.à r.l. et Cie, S.C.A., 22–24 Boulevard Royal, L-2449 Luxembourg (“PayPal”), you must be registered with PayPal, authenticate yourself using your login details and confirm the payment instruction. The payment transaction will be carried out by PayPal immediately after the order has been submitted. Further information will be provided during the ordering process.

PayPal may offer registered PayPal customers, selected according to PayPal’s own criteria, further payment methods in their customer account. However, we have no influence over the offering of such methods; any further individually offered payment methods concern your legal relationship with PayPal. Further information can be found in your PayPal account.

In cooperation with the payment service provider PayPal (Europe) S.à r.l. et Cie, S.C.A., 22–24 Boulevard Royal, L-2449 Luxembourg (“PayPal”), we offer you the following payment options as PayPal services. Unless otherwise provided below, payment via PayPal does not require registration with PayPal. Further information will be provided in relation to the respective payment option and during the ordering process.

PayPal

In order to pay the invoice amount using the PayPal payment option, you must be registered with PayPal, authenticate yourself using your login details and confirm the payment instruction. The payment transaction will be carried out by PayPal immediately after the order has been submitted.

Direct Debit via PayPal

Payment by direct debit via PayPal is subject to an address and creditworthiness check and is made directly to PayPal. By confirming the payment instruction, you grant PayPal a direct debit mandate. PayPal will inform you of the date on which your account will be debited (“pre-notification”). The account will be debited before the goods are dispatched.

Purchase on Account via PayPal and Ratepay

Purchase on account via PayPal is subject to an address and creditworthiness check and is made directly to Ratepay GmbH, Franklinstraße 28–29, 10587 Berlin (“Ratepay”).

Amazon Pay

In order to pay the invoice amount via the payment service provider Amazon Payments Europe S.C.A., 38 avenue J.F. Kennedy, L-1855 Luxembourg (“Amazon”), you must be registered with Amazon, authenticate yourself using your login details and confirm the payment instruction. The payment transaction will be carried out by Amazon Pay within one banking business day after the order has been submitted.

Amazon Pay may offer registered Amazon Pay customers, selected according to Amazon Pay’s own criteria, further payment methods in their customer account. However, we have no influence over the offering of such methods; any further individually offered payment methods concern your legal relationship with Amazon Pay. Further information can be found in your Amazon Pay account.

PAYONE GmbH

Invoice; the purchase price shall be due 14 days after receipt of the invoice.

7. Retention of Title

The product shall remain our property until payment has been made in full.

8. Transport Damage

If goods are delivered with obvious transport damage, please complain about such defects to the delivery agent as soon as possible and contact us without undue delay. Failure to make a complaint or to contact us shall have no consequences whatsoever for your statutory claims and the enforcement thereof, in particular your warranty rights. However, you will help us to assert our own claims against the carrier and/or the transport insurance provider.

9. Data Backup

You are responsible for the proper and regular backup of your data. We shall not be liable for damage resulting from the loss of data to the extent that you could have avoided the data loss by carrying out regular and complete data backups.

The above limitation shall not apply to claims based on damage caused by us, our legal representatives or vicarious agents

  • in the event of injury to life, limb or health;
  • in the event of intentional or grossly negligent breach of duty or fraudulent intent;
  • in the event of breach of material contractual obligations, the fulfilment of which is essential for the proper performance of the contract and on compliance with which the contractual partner may regularly rely (“cardinal obligations”);
  • within the scope of a guarantee promise, where agreed; or
  • where the scope of application of the German Product Liability Act (Produkthaftungsgesetz) is opened.

10. Warranty Rights and Guarantees

10.1 Statutory Liability for Defects

The statutory liability for defects shall apply.

10.2 Guarantees and Customer Service

Information on any additional guarantees that may apply and their exact terms can be found with the respective product and on special information pages in the online shop.

11. Liability

We shall always be liable without limitation for claims based on damage caused by us, our legal representatives or vicarious agents

  • in the event of injury to life, limb or health;
  • in the event of intentional or grossly negligent breach of duty;
  • in the event of guarantee promises, where agreed; or
  • where the scope of application of the German Product Liability Act (Produkthaftungsgesetz) is opened.

In the event of a breach of material contractual obligations, the fulfilment of which is essential for the proper performance of the contract and on compliance with which the contractual partner may regularly rely (“cardinal obligations”), caused by slight negligence on the part of us, our legal representatives or vicarious agents, liability shall be limited in amount to the damage foreseeable at the time of conclusion of the contract and the occurrence of which must typically be expected.

In all other respects, claims for damages shall be excluded.

13. Dispute Resolution

We are neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration board.

Should individual clauses of these General Terms and Conditions be invalid, in whole or in part, the validity of the remaining provisions of the contract shall remain unaffected. Where individual clauses are invalid, the content of the contract shall be governed by the statutory provisions.
